Here's a historical timeline to prove the type of law in use. I will use New York as an example.

The living man created the Republic of New York in 1775.

The Declaration of Independence was signed in 1776

The Articles of Confederation were agreed to in 1777...

Maxims of law dictate that what is created cannot be greater than what created it.

The living man of the independent nations sent delegates to create the corporation.

Maxims of law dictate that once an authority is delegated it cannot be delegated again. So the delegates had no Authority to give the corporation any power jurisdiction control or authority over the people.
