In law, when a company is registered, it becomes a person- it can sue by its name and be sued & can die when it gets liquidated.
Thus, the legal corporation representating Jehovah's Witnesses is different from the entire worldwide association of Jehovah's Witnesses. It is just there to satisfy the requirements of the law.
That is why the Watchtower President is not even a member of the Governing Body. He is just there because the law requires that every registered company must have board of directors with a head and a secretary.
3. If you read again, you will see: "and by Watch Tower Society of Jehovah's Witnesses Ltd/Gte"
The initials "Ltd/Gte" means the Watch Tower Corporation in Nigeria is registered as a company Limited by Guarantee.
The Nigerian company law provides for these types of companies:
1. Private Company Limited by shares (Ltd) 2. Public Company Limited by shares (Plc) 3. Company Limited by Guarantee (Ltd/Gte) 4. Unlimited Company (Ultd)
A company limited by guarantee (Ltd/Gte) is a lesser known type of corporation which is generally formed for non-profit purposes and has members instead of shareholders. So there are no dividends paid.
There will generally be no profits distributed to the guarantors as they will instead be re-invested to help promote the non-profit objectives of the company.
