In THREE MINUTES (not exaggerating) Elon went from receiving some friendly feedback from Parag as a future $TWTR board member to telling Parag “this is a waste of time” and I’m going to “offer to take Twitter private.”
That time Elon had to tell Jason Calacanis (paraphrasing) “you’re embarrassing me, bruh” about Jason marketing his $TWTR SPV to retail.
Jason replies that he’d “jump on a grenade (sic)” for Elon:
“I’m ride or die brother.”
(Actual quote)
Isn’t this the same Elon that said he’d do everything he could to let retail investors stay in $TWTR during the take-private?
Then Jason actually tries and Elon bitch-slaps him.
Can’t wait for the All In Podcast to record tomorrow.
David Sacks in the texts too, though his are more innocuous (Sacks said he’d raise an SPV or invest his personal money, but the size of his personal check would be “mice nuts.”)
This one was sent to Larry Ellison hours before putting the $TWTR deal "on hold."
Also fun to see that the data scientists ELON HIRED estimated spam as a % of mDAU at 5.3%...all the way back in early July...when he terminated for too much spam. lol
For some reason, Team Elon was pretty reticent to provide these results to Team $TWTR. I wonder why? 🤔
Good to see Andreessen’s due diligence was on par with Elon’s…
Lol Marc pasting @signalapp messages into an email to Elon’s guy, Jared Birchall. Keep in mind Elon has refused providing Signal messages to Twitter for discovery.
Oops! 🤷♂️
As a result of Elon defying the Chancery Court wrt producing his Signal messages for discovery, $TWTR lawyers are seeking sanctions against Musk.
Twitter v Musk has a discovery hearing in Delaware today in front of the Chancellor. It is to address $TWTR's desire to limit Musk's discovery into his mDAU and spam requests. If Twitter wins restrictions, it obviously has huge implications on the trial.
It begins now.
1/x 🧵👇
Team Musk: Alex Spiro (AS)
We are requesting discover around composition of mDAU, bots, and other related data that is easy to get.
$TWTR claims this request is burdensome and involves privacy, but - in reality - they don't want to give it.
Twtr says, "don't worry, it's not important." We disagree. The CEO of TWTR says "these are individuals that see ads." [cough, bullshit, cough]
Why does Twitter define mDAU this way? It's growth was stagnant and the prior CFO Noto said, "gotta get users up, gotta get users up."
1. Democracy may indeed Die in Darkness. That’s what makes it so sweet when @washingtonpost knobslobs Mudge’s whistleblower motives in the light of day.
Listen to see what I mean.
Nobody seems to note that Mudge & his lawyers stand to receive 10-30%!! of any fine. Read on.
🧵👇
2. $TWTR recently settled an FTC fine for $150MM. Other Big Techs have paid fines multiples of that. 10-30% of those numbers is GENERATIONAL wealth.
But, not Mudge - he’s pure.
Sure, he sent his complaint to:
Not 1, not 2, but 3 agencies! And Congress! Over obscure disclosures?
3. Sure, he cut his hair and transformed himself from a crossbreed of Jerry Garcia x Gandalf the Wizard into a serious looking metrosexual for a media blitz.
1. A guy named Mudge filed a whistleblower suit against $TWTR today.
If you don't know Mudge, in addition to being the fired short-lived Head of Twitter Security, he's kind of a big deal, as he notes repeatedly.
(Yes, he refers to himself as "Mudge" throughout. Why? Enjoy)
🧵👇
2. The bulk of the complaint focuses on network & platform security and data protection, claiming Twtr is failing to live up to its obligations, including under an @FTC agreement it signed 11-yrs ago.
I clipped some highlights, but that's not my focus. My focus is mDAU. Read on.
3. Much of it reads like a "Mudge said, Jack said" disagreement - it's worth keeping in mind Mudge was fired in January.
While interesting, that's not the crux of my focus.
In trying to smack $TWTR & @paraga, Mudge actually points out Twitter's mDAU process is...
