First-time SMB searchers:

Do not perform a colonoscopy on the business *before* submitting an offer.

Your time is too valuable.

Instead:

- Take 1-2 efficient calls with the seller
- Sanity check the provided financials
- Create flexibility in your offer

Then hit send.

👇🏻 The goal is not to renegotiate the purchase price post-LOI.

That's poor form.

But there are mechanisms to create flexibility, if you need it.

For example, include both:

- The SDE you are assuming
- The multiple you are paying

Both can change if new info arises.
