1. Named parties
Clearly state the name of the BUSINESS you're entering the contract with

2. Definitions
Any short hand you use (e.g. "Contractor" instead of writing your name every time)

3. Nature and delivery of services (structure)
How you work together

4. Relationship of the parties
Who you are to each other (ie. you're NOT an employee)

5. Term and termination
Cancellation clauses / outs / etc

6. Delivery of services (time)
Indicating you can control your own schedule / will provide stated deliverables

7. Non-exclusivity and conflict of interest
That you can work with any client you want / they can't stop you

8. Fees
How much, what currency, late fees, etc

9. Business expenses
What happens if you have expenses during the project

10. Confidentiality
Everyone keeps their mouth shut

11. Ownership of materials
You own your sh*t till they pay

12. Mutual indemnity
The legal version of "everyone just be cool"

13. Non-solicitation
You won't poach their people

14. Notice
What constitutes "Um, I told you this already"

15. Choice of law
What court will you settle in, if it gets to that?

16. General comments
Legalese for "anything else"

17. Independent legal advice
Everyone agrees / consents that they were given the opportunity to seek legal council

18. Signatures
Making it legit
