The Terminatrix has a size advantage, having superior weight and reach. She's the size of an adult human, while Athena is the size of a child. However, Athena more than makes up for this with superior fighting skills. Indeed, she has been programmed to know Tae Kwon Do
(Raffey Cassidy, the actress who played her, was trained in Tae Kwon do for the film). Meanwhile, Terminatrix' fighting style is...something to be desired. Indeed, she had a penchant for letting Terminator hit her several times before fighting back, which is amazingly stupid
(she could have ended that fight with Terminator far sooner if she had a far more aggressive fighting style. The T-800 had such a style, but Terminatrix instead acted like a punching bag at times).
Check out the following vids to compare their fighting styles. In both cases,
Athena and Terminatrix are fighting super strong mechanical brutes:
To be fair, Audio Animatronics (the androids Athena was fighting) are dinged more easily than a Terminator when it comes to hard head impacts, but they can rapidly recover and keep fighting (and if you watch the film "Tomorrowland", even the less durable Audio Animatronics
have strength that rivals a terminator's). Athena is more durable that most other Audio Animatronics, capable of taking heavy shots from much larger androids and still keep fighting (it takes a truck moving at high speeds to KO her, and even then it only lasts a few seconds).
Indeed, Athena is also absurdly strong, capable of ripping the heads off the audio animatronics in the store fight scene above, which are far more durable than the later androids seen in the film. Thus, she has the strength, speed, agility and durability to mop the floor with
the Terminatrix.

She also has superior weapons.

The Terminatrix right hand can transform into a plasma cannon, an EMP generator, a flame thrower, and several other weapons. All of these are good, and the first two weapons will be the biggest threat to Athena (though whether
Athena is designed to withstand an EMP burst is unknown). However, it takes several seconds for her hand to transform.

Considering her super speed, it would take far, far less time for Athena to draw her energy pistol and pull the trigger.
The following shows a man
who has the fastest gun draw in the world. He can get off two shots in less than a tenth of a second. Keep in mind; he's not a super fast android, but a man made of flesh and bone:
Now, if a mere human could do this...what would a super fast android (fast enough to easily outrun a truck) be capable of doing? She could get countless shots off before the Terminatrix could fire her weapon.

Assuming, of course, that the Terminatrix would even have time to
figure out that there is a battle (more on this later).

The Terminatrix's main trump card here is nanobots in her hand, which she can inject into a less advanced robot or cyborg. Once this is done, she can control them. I could see the Terminatrix injecting these into Athena,
and then try to use her to hunt down human targets (can you imagine a more perfect terminator than a child version? Who would expect a child to be a serious threat? Which would put you more on guard; a small child, or a bodybuilding Austrian wearing a leather jacket and sunglass
(excuse me, "sunglasses)? Skynet is downright STUPID for not making one of these!). However, just as the T-800 fought the nanobot's control and eventually won, Athena could potentially do the same. Indeed, Athena was built by a space faring human civilization that has
roughly Star Trek level technology, while the Terminatrix was built in the 21rst century. Though highly advanced, I doubt her nanobots are advanced enough to overcome the mind of an android whose tech is on par with Data from Stark Trek.
Indeed, considering her POOR hand to hand combat skills, I sincerely doubt that she'd be able to inject Athena in close quarter combat. Sure, she can turn around in her "skin", but this wont make up for the lack of H2H combat training (or programming, if you will).
Personally, though, I don't think Terminatrix will have a chance to even draw near to Athena.
Why?
The dreaded Time freeze grenade.
If you watch the clip from Tomorrowland, you'll see that Athena throws a grenade that freezes time in a ten foot radius. The enemy androids could
not move for roughly about a minute.

And what could Athena do during that period of time???

Setting up for a science fiction turkey shoot.
The only thing she has to do is use the time freeze grenade, get behind Terminatrix, grab her pistol and wait.

Then, when the time freeze grenade runs its course...
Given this, I must conclude that...

ATHENA INTRODUCES THE TERMINATRIX TO THE CONCEPT OF "RAPID FIRE"!!!!!!!
