#AMC Tonight on the Recap "New Acquisitions." This was pointed out to me and I'm going to cover it as we all need to be encouraged and be of good cheer. People better start respecting AMC as it's trying to turn into an entertainment power house.

so without further delay lets get into it. By the way this is not financial advice lol, but I just want to take the time to help you all understand what is going on here. When it comes to the current deal between AMC and Cinedigm. So a few things you should know before I get
into it:

1.There are two types of Assets Sale Indirect Asset Sale – Acquiring Corporation gets the underlying asset by buying the controlling amount of interest to the stock. Direct Asset Sale - Acquiring them directly from the Target Corp.
2. There are 7 types of assets that are included in the sale: a) Cash and Cash Equivalents b) Activity traded personal property i.e. stock c) Accounts Receivables d) Inventory e)PPE, f) Intangible Assets g) Goodwill

Now that we have that understand lets get
into this deal between Cinedigm and AMC. This would be easier if I saw the deal transaction instead of words but this is essentially what is going on is this AMC bought the underlying assets of what makes this company be what it is. If you look at the Cinedigm website
(cinedigm.com) you would figure out and I Quote from the Website “ Cinedigm pioneered the digital conversion of the theatrical exhibition industry and currently services cinema assets on over 12,000 movie screens in north America and international companies
the organization provides, content, channels and services to the worlds largest media, technology and retail companies…provide original and aggregated programming, channels and services that entertain consumers globally across hundreds of millions of devices. AMC I believed
purchased these underlying assets in order to help them expand and adapt their operations to the covid world. With the Ability to reach out to hundreds of millions of people through their devices grants them another form of revenue stream. So if you ask me I believe that AMC
purchased Intangible Assets and some parts goodwill. I have no way of verifying what specific assets were purchased but these seem to be the most that stand out when the transaction was an asset sale. As AMC was more so after the intellectual property of the organization
. That's just my opinion but we'll see more when AMC posts their side of the transaction.

So what does this all mean? AMC is trying to expand it’s client base outside of the theater. I believe they are trying to grow into the digital age that allow you to both watch a movie in
the theatre, on your phone, in the car, while your on vacation, at home, in the office, or the moon. Okay, but why does that matter? It means that AMC learned from 2020. It means AMC found another revenue stream that can sustain them should we have another
another Covid-19 type shut down in the future. (Not saying it will happen). The Agreement is in effect as of March 17, 2021. Keep in mind that it will take them time to be able to get this part of it up and running. So we should start seeing them obtain another valuation that
can begin to back up our #moon numbers.

So what does this mean for us as we await our final destination? Well first just know AMC is not a dead cat it’s alive and well. The organization is looking to build a bigger and better company that in the long term will provide lasting
profits. This is a 180 degree turn from a company that was on the brink of bankruptcy as they were and still are highly leveraged company. Additionally, obtaining money in the form of its operations i.e. concessions, ticket sales, memberships, have not risen back up to
pre pandemic levels so this adds to their ability to 1) obtain new customers 2) increase their gross revenue to cover the rising costs due to the cleaning and maintenance of its facilities b/c of covid 3). Cover necessary business expenses per the IRS website.We all want this to

AMC FTDs were 11,506,779 shares at a price point of $97,474,750.40.

#AMC I'm not sure why folks are still worried about the executives selling shares but let me explain. The transactions related to box 3 code G represent Gifting to Children and Charitable Organizations. In Tax gifting is a way to minimize your tax liability. In addition,
stock being granted is either a Restricted Stock Unit or a Non Qualified Stock option that is given or rewarded was apart of compensation. When RSU vest they are immediately taxable until then the owner does not have the right to own the stock and cannot do much with it.
Upon vesting these stocks convert to Common Stock. So I surmise that those stocks that were sold converted from an RSU to Class A Common Shares. Long story short there is no there here. We need to keep site of the forest and not get lost for the trees. Stay the course folks. We

#AMC #GME Good Evening Everyone, I hope and trust you all are well even after todays dip. It is hard to watch. But I'm hoping and expecting a rebound here shortly. Now before I go into what took place today. A general housekeeping rule if you will. 1) I'm not a financial
advisor. I simply provide/supply/explain the information as I see it. 2) Last night I was asked to perform an audit of the information that was provided across multiple platform in regards to the exempt shares owned and circulated by MM i.e. Citadel & Friends.
I will only say this once, work papers drive accounting spreadsheets and so if you don't have all or parts of the information it makes it hard to make a determination if there is some there there to the number or any number being used. I did my own DD and this is what I found.
