I did not realize until today that the successful (pre-16th Amendment) challenge to the federal income tax was brought by a shareholder who did not want a corporation (trust company) to pay the taxes.

Other "shareholders' rights" arguments used to bolster corporate constitutional claims were seen around the same time into the present day. The tax case was in 1895.

In the early 20th century, lawyers unsuccessfully argued that corporations should not face criminal liability for the authorized acts of its agents (employees). They lost when SCOTUS in 1909 decided New York Central.

The Supreme Court rejected the argument that "to thus punish the corporation is in reality to punish the innocent stockholders, and to deprive them of their property without opportunity to be heard, consequently without due process of law."
